2. Definitions

For the purpose of these Terms and Conditions:

  • "Service" refers to the Personnel Locator Chart system.
  • "User" refers to any individual who has been granted access to use the Service.

The Personnel Locator Chart is a system designed to track and manage the location and status of personnel within an organization. The Service includes:

  • Personnel location tracking within organizational premises
  • Status monitoring and availability management
  • Resource allocation and assignment tools
  • Reporting and analytics capabilities
  • Emergency response coordination features

4. User Accounts and Responsibilities

When you are provided with access to the Personnel Locator Chart system, you agree to:

  • Maintain the security of any login credentials provided to you
  • Promptly notify administrators of any unauthorized access or security breaches
  • Ensure that all information you provide is accurate and up-to-date
  • Accept responsibility for all activities that occur under your account
  • Use the Service only for its intended purpose within the organization
  • Comply with all applicable Philippine laws and regulations while using the Service

We reserve the right to disable any user account at any time if, in our reasonable opinion, you have failed to comply with any of the provisions of these Terms.

5. Acceptable Use

You agree not to use the Service:

  • In any way that violates any applicable Philippine law or regulation, including but not limited to the Data Privacy Act of 2012
  • To impersonate or attempt to impersonate another person or entity
  • To engage in any activity that interferes with or disrupts the Service
  • To attempt to gain unauthorized access to secured portions of the Service
  • To use the Service for any purpose other than its intended organizational function
  • To track or monitor personnel outside of authorized organizational premises or beyond authorized hours
  • To harass, stalk, or inappropriately monitor other personnel
  • To collect or store personal data about other users without their explicit consent

6. Data Privacy and Protection

The collection, use, and processing of personal data through the Service is governed by the Data Privacy Act of 2012 (Republic Act No. 10173) and its Implementing Rules and Regulations. By using the Service, you acknowledge that:

  • Your personal and location data will be collected and processed as described in our Privacy Policy
  • The organization has implemented appropriate security measures to protect your personal data
  • You have the right to access, correct, and request deletion of your personal data as provided under the Data Privacy Act
  • In case of data breaches affecting your personal information, you will be notified in accordance with Philippine law

The Service and its original content, features, and functionality are and will remain the exclusive property of our organization and its licensors. The Service is protected by copyright, trademark, and other laws of the Philippines and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of our organization. All intellectual property rights in the Service are protected under Philippine laws, including the Intellectual Property Code of the Philippines (Republic Act No. 8293).

8. Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE ORGANIZATION MAKES NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED ON THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ORGANIZATION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

While we strive to provide accurate location information, we cannot guarantee 100% accuracy at all times. The Service should not be solely relied upon in life-threatening emergencies without appropriate backup systems.

9. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL THE ORGANIZATION BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF THE ORGANIZATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless the organization, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your actions caused damage to a third party.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact your administrator.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through amicable negotiations. If such negotiations fail, the dispute shall be submitted to appropriate courts in the Philippines, which shall have exclusive jurisdiction over such matters.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
